3. Eligibility. The Platform is available to educators and students from education institutions that have a written agreement with TomorrowTodayNow. By using the Platform, you represent and warrant that you are an authorized administrator, educator, or student (or the parent or legal guardian of a student) and have the right, authority, and capacity to enter into this Agreement on behalf of yourself or on behalf of a student (as the case may be).

4. User Accounts.

4a. Student Accounts. We are committed to complying with the Children’s Online Privacy Protection Act (COPPA) and do not knowingly collect personal information from children under 13 without verifiable parental consent. Students may be required to use credentials provided by their educators or by the school administrator(s) to access the Platform.

4.a.1. Accounts for children under the age of 13 must be created and managed by a parent, guardian, or authorized school administrator. By creating an account for a child, the parent, guardian, or authorized school administrator or educator consents to the child’s use of the Platform and agrees to be bound by these Terms of Use on behalf of the child.

4.a.2. Parents or guardians are responsible for monitoring their child’s use of the Platform and ensuring that the child’s use complies with these Terms of Use. Parents or guardians should review the child’s account activity regularly to ensure appropriate use.

4.a.3. Parents or guardians have the right to review and request the deletion of their child’s personal information collected through the Platform. To exercise these rights, parents or guardians should contact the Company (at the contact information listed at the end of these Terms of Use).

4.a.4. In the United States, we are required under COPPA to obtain verifiable parental consent before collecting, using, or disclosing personal information from children under 13. We rely on our partner educational institutions to obtain this parental consent for the online collection of personal information from students who are under their supervision. However, the Company reserves the right to request directly from the parent or guardian a signed parental consent form regarding the creation and use of an account for a child under the age of 13.

4.b. Educator Accounts. Educators are required to create an account to access and use the Platform. 

4.c. Information; Confidentiality. You agree to provide accurate, current, and complete information when creating an account and to update this information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5. Ownership. All content included on this Platform is and shall continue to be the property of TomorrowTodayNow or its content suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights. Any copying, redistribution, use or publication by you of any such content or any part of the Platform is prohibited, except as expressly permitted in this Agreement. Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of this Platform.

5.a. Student Data. Students shall retain ownership of their data provided or created while using the Platform. This includes, but is not limited to, any personal information, educational records, and content uploaded by students. The Company acknowledges and agrees that it does not own any student data. The Company will only use student data as necessary to provide and improve the services offered by the Platform, and in accordance with our Privacy Policy and applicable laws.

5.b. Public Data. The Company does not claim ownership of any data that is made publicly available by users on the Platform. Public data includes any information or content that users voluntarily make accessible to other users or the general public through the Platform.

5.c. Platform Content. All content included on this Platform, excluding student data and public data (“Platform Content”), is and shall continue to be the property of the Company or its content suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights. Any copying, redistribution, use, or publication by you of any such Platform Content or any part of the Platform is prohibited, except as expressly permitted in this Agreement. Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of this Platform.

6. Trademarks. TomorrowToday, TomorrowTodayNow, and others are either trademarks or registered trademarks of the Company. Other product and company names mentioned on this Platform may be trademarks of their respective owners. The Company and any party that provides intellectual property to the Company retain all rights with respect to any of their respective intellectual property appearing on this website, and no rights in such materials are transferred or assigned to you.

7. Platform Use.

7.a. License to School Users. The Company grants school users, including administrators and educators, a limited, revocable, nonexclusive license to use the Platform for educational and administrative purposes only. This license is provided for the purpose of facilitating the educational and career planning services offered by the Platform and does not include the right to republish, distribute, assign, sublicense, sell, prepare derivative works, or use the Platform for any commercial purpose. School users agree not to copy Platform Content on the site, reverse engineer or break into the Platform, or use materials, products, or services in violation of any law.

7.b. License to Student Users. The Company grants student users a limited, revocable, nonexclusive license to use the Platform solely for personal educational purposes. This license is provided to enable students to access and utilize the educational and career planning services offered by the Platform. Student users agree not to republish, distribute, assign, sublicense, sell, prepare derivative works, or use the Platform for any commercial purpose. Student users also agree not to copy Platform Content, reverse engineer or break into the Platform, or use materials, products, or services in violation of any law.

7.c. General Use. We do not guarantee the accuracy or completeness of any information or content. You agree that you must evaluate, and bear all risks associated with, the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content. The use of the Services by both school users and student users is at the discretion of the Company, and the Company may terminate the use of the Services by any user at any time.

8. Links to Third-Party Websites. This Platform may provide links to third-party websites or resources. Because we do not control such websites and resources, you acknowledge and agree that the Company is not responsible or liable for the content, products, or performance of such third-party websites and resources, and you hereby irrevocably waive any claim against the Company with respect to such websites and resources. The Company reserves the right to terminate any link at any time without notice. The inclusion of a link to such another website or resource does not constitute or imply an endorsement, authorization, sponsorship, or affiliation by the Company of that website or resource, or any products or services provided therein. We recommend that you review any terms of use and privacy policy of any linked third-party website before providing any information to that website or using its products and services.

9. Compliance with Laws. You agree to comply with all applicable laws regarding your use of the Platform. You further agree that information provided by you is truthful and accurate to the best of your knowledge.

10. Indemnification. You agree to indemnify, defend, and hold TomorrowTodayNow and our partners, employees, affiliates, content providers, service providers, employees, agents, officers, directors, and contractors (the “Indemnified Parties”) harmless from any liability, loss, claim, damages, awards, costs, and expenses, including reasonable attorney’s fees, related to your breach of this Agreement or use of the Platform. You agree that the Indemnified Parties will have no liability in connection with any such breach or unauthorized use. You will also indemnify and hold the Indemnified Parties harmless from and against any claims brought by third parties arising out of your unauthorized use of any content or information or service accessed from this Platform.

11. Disclaimer. THE INFORMATION ON THIS PLATFORM IS PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS. YOU AGREE THAT USE OF THIS PLATFORM IS AT YOUR SOLE RISK. TOMORROWTODAYNOW DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES, STATUTORY WARRANTIES, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT WILL THE COLLECTIVE LIABILITY OF TOMORROWTODAYNOW AND ITS SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, CONTENT PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, REGARDLESS OF THE FORM OF ACTION (WHETHER IN CONTRACT, TORT, OR OTHERWISE), EXCEED THE GREATER OF $100 OR THE AMOUNT YOU HAVE PAID TO TOMORROWTODAYNOW FOR THE USE OF THE WEBSITE OR ANY SERVICE IT PROVIDES.

You may have additional rights under certain laws (including consumer laws) which do not allow the exclusion of implied warranties, or the exclusion or limitation of certain damages. If these laws apply to you, the exclusions or limitations in this Agreement that directly conflict with such laws may not apply to you.

13. Use of Information. TomorrowTodayNow reserves the right, and you authorize us, to use and assign all information regarding site uses by you and all information provided by you in any manner consistent with our Privacy Policy.

14. Feedback. The Company encourages suggestions and comments regarding the Platform from users. Any feedback, comments, or suggestions submitted to By providing feedback, you agree that: (a) Your feedback does not contain confidential or proprietary information of third parties, (b) the Company is under no obligation of confidentiality, express or implied, with respect to the feedback, (c) the Company may have something similar to the feedback already under consideration or in development, (d) you grant the Company an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, prepare derivative works, publish, distribute, and sublicense the feedback, and (e) you irrevocably waive, and cause to be waived, against the Company and its users any claims and assertions of any moral rights contained in such feedback.

15. Governing Law; Venue; Actions. If there is any dispute about or involving the Platform or this Agreement, you agree that any dispute shall be governed by the laws of the State of New York without regard to its conflict of law provisions. You agree to personal and exclusive jurisdiction by and venue in the state and federal courts of the State of New York, Manhattan County. YOU AGREE THAT REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE PLATFORM, ANY SERVICE PROVIDED BY THE PLATFORM, OR THE TERMS OF USE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED.

16. Severability. If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

17. Waiver. The failure of TomorrowTodayNow to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by the Company must be in writing and signed by an authorized representative of the Company.

18. Termination. TomorrowTodayNow reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Platform or any service provided by the Platform (or any part thereof) with or without notice. You agree that the Company will not be liable to you or any third party for any modification, suspension or discontinuance of the Platform or any service.

19. Relationship of the Parties. Nothing contained in this Agreement or your use of the Platform shall be construed to constitute either party as a partner, joint venturer, employee, or agent of the other party, nor shall either party hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability, or other obligation of any kind, express or implied, in the name of or on behalf of the other party, it being intended by both parties that each shall remain independent contractors responsible for its own actions.

20. Entire Agreement. This Agreement constitutes the entire agreement between you and TomorrowTodayNow and governs the terms and conditions of your use of the Platform, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and TomorrowTodayNow with respect to this Platform. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies (including but not limited to the Privacy Policy), guidelines, or rules that may apply when you use the website. TomorrowTodayNow may revise this Agreement at any time by updating it and posting the updated Agreement on the Platform.
